Assumption of Risk & Indemnity Agreement · Arkham BJJ, LLC
PLEASE READ THIS DOCUMENT CAREFULLY. By signing this document, you are waiving certain legal rights, including the right to sue Arkham BJJ, LLC, its owners, instructors, and affiliates.
In consideration of being permitted to enter the premises of Arkham BJJ, LLC (the “Academy”) and/or participate in any martial arts training, classes, instruction, sparring, competitions, seminars, or other activities (collectively, the “Activities”) offered by the Academy, I, the undersigned Participant (or Parent/Legal Guardian if the Participant is under 18), hereby acknowledge and agree to the following terms:
1. Inherent Risks of Martial Arts Training
I fully understand and acknowledge that Brazilian Jiu-Jitsu (BJJ), Judo, wrestling, submission grappling, and functional fitness training are high-intensity, full-contact martial arts. I recognize that the Activities involve severe physical exertion and close physical contact with instructors and other participants. I understand that the inherent risks of these Activities include, but are not limited to:
- Soreness, bruises, cuts, abrasions, and skin infections or communicable illnesses.
- Sprains, strains, fractures, joint dislocations, and torn ligaments or muscles.
- Concussions, head injuries, and trauma resulting from being thrown, swept, or taken down onto the mats.
- Asphyxiation or unconsciousness resulting from chokeholds and submission techniques.
- Spinal injuries, paralysis, or, in rare cases, catastrophic injury or death.
- Accidents or injuries resulting from the actions, inactions, or ordinary negligence of other students, visitors, or Academy staff.
2. Assumption of Risk
Knowing and fully understanding these risks, I voluntarily choose to participate (or allow my child to participate) in the Activities. I expressly, knowingly, and freely assume all risks, both known and unknown, associated with my presence at the Academy and participation in the Activities, even if arising from the ordinary negligence of the Releasees (defined below), and I assume full responsibility for my participation.
3. Release of Liability & Covenant Not to Sue
To the maximum extent permitted by the laws of the State of Georgia, I, on behalf of myself, my spouse, heirs, executors, administrators, personal representatives, and assigns, hereby RELEASE, WAIVE, FOREVER DISCHARGE, AND COVENANT NOT TO SUE Arkham BJJ, LLC, its members, managers, owners (including Harry St Léger and Brandon Bennett), instructors, employees, staff, agents, volunteers, and the owners/lessors of the premises (collectively, the “Releasees”), from any and all liability, claims, demands, actions, or causes of action whatsoever arising out of or related to any loss, damage, property damage, personal injury, illness, disability, or death that may be sustained by me, WHETHER CAUSED BY THE ORDINARY NEGLIGENCE OF THE RELEASEES or otherwise, while participating in the Activities or while on or about the Academy premises.
4. Indemnification and Hold Harmless
I agree to defend, indemnify, and hold harmless the Releasees from any and all claims, actions, suits, procedures, costs, expenses, damages, and liabilities, including reasonable attorney’s fees and court costs, brought as a result of my (or my child’s) involvement in the Activities, or brought by me or on my behalf, my heirs, or third parties, arising out of any injury, damage, or loss.
5. Participant Health, Physical Condition, and Hygiene
I certify that I am in good physical health and have no medical conditions, injuries, or illnesses (including skin infections like ringworm, staph, or MRSA) that would make my participation unsafe for myself or dangerous/infectious to others. I acknowledge that it is my sole responsibility to consult with a physician prior to participating in strenuous physical activities. I agree to comply with all Academy safety, cleanliness, and hygiene rules, and I agree that the Academy reserves the right to deny mat access if I violate these standards.
6. Medical Authorization
In the event of an emergency, injury, or medical crisis during the Activities, I hereby authorize Academy personnel to seek medical treatment, administer basic first aid, or call emergency medical services (911) on my behalf if I am incapacitated or unable to respond. I agree that I am solely responsible for any and all medical costs, ambulance fees, or hospital expenses incurred.
7. Media and Photo Release
I hereby grant Arkham BJJ, LLC permission to photograph, video record, or otherwise capture my image, likeness, voice, and actions during my time at the facility. I agree that the Academy owns these media materials and may use them for marketing, advertising, website design, social media promotion, or instructional videos without any compensation, royalties, or further approval required from me.
8. Governing Law, Venue, and Severability
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Georgia. Any legal action or proceeding arising under this Agreement shall be brought exclusively in a court of competent jurisdiction located in Gwinnett County, Georgia (or the county in which the facility is located). If any provision or portion of this Agreement is held by a court to be invalid, illegal, or unenforceable, the remaining sections and provisions shall continue in full legal force and effect, and the invalid portion shall be modified to the minimum extent necessary to make it valid and enforceable.
9. Entire Agreement
This document constitutes the entire agreement between the Academy and me regarding liability and assumption of risk, and it supersedes any prior oral or written representations or statements. I acknowledge that no oral modifications to this agreement are valid.
BY SIGNING BELOW, I ACKNOWLEDGE THAT I HAVE READ THIS ENTIRE AGREEMENT, FULLY UNDERSTAND ITS TERMS, UNDERSTAND THAT I AM GIVING UP SUBSTANTIAL RIGHTS (INCLUDING THE RIGHT TO SUE), AND SIGN IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT.
